1. GENERAL INFORMATION
These General Terms and Conditions of Sale govern the purchase of products offered on the ShopClima.it website, operated by AirClima Elettrodomex S.r.l. (Company Register MI 262131/99 and VAT No. 12940070159). The sale of products constitutes a distance contract governed by Italian law, the Consumer Code (Legislative Decree 206/2005), Legislative Decree 70/2003 on e-commerce, and, where applicable, the provisions of the Civil Code.

2. PURPOSE AND SCOPE
These terms and conditions govern both relationships with consumers, i.e., private customers (B2C), and professional customers (B2B). In the event of a conflict, mandatory consumer protection provisions shall prevail.

3. LEGAL WARRANTY
For private consumers (B2C), all products are covered by a legal warranty of conformity for 24 months (2 years) from the date of delivery, pursuant to Articles 128–135 of the Consumer Code. The consumer is entitled, free of charge, to have the goods brought into conformity through repair or replacement, or, where applicable, to a price reduction or termination of the contract. The consumer is not required to report the defect within a certain period of time from its discovery.

For professional customers (B2B), however, a commercial warranty of 12 months (1 year) from delivery applies. B2B customers are required to report the defect in writing within 8 days of its discovery, under penalty of forfeiture.

For both customers, the legal warranty is limited to original manufacturing defects and excludes damage caused by improper use, improper installation, unauthorized modifications, negligence, or force majeure.

4. TECHNICAL INFORMATION
The technical specifications and product descriptions are based on data provided by the manufacturers. Airclima Elettrodomex S.r.l. may update or modify this information without notice. Images are for illustrative purposes only and may differ slightly from the actual product.

5. CONTRACT CONCLUSION
Placing an order through the website www.shopclima.it constitutes a contractual offer.
The contract is considered concluded when the customer receives an order confirmation email containing a summary of:
- essential product characteristics,
- total price (including VAT and shipping costs),
- payment method,
- delivery address,
- link to these General Terms and Conditions.

Airclima Elettrodomex S.r.l. reserves the right to refuse or cancel orders in the event of pricing errors, unavailability, or unverifiable payments, promptly informing the customer.

6. PRICES AND PAYMENTS
All prices are in euros (€) and, unless otherwise indicated, include VAT (22%). Any shipping costs are indicated separately before order confirmation.
The following payment methods are accepted:
- Credit or debit card (via secure payment systems);
- PayPal;
- Advance bank transfer.

Card details are not stored by Shopclima in any way.
Airclima Elettrodomex S.r.l. may suspend shipments in the event of insolvency or failed anti-fraud checks.

7. SHIPPING AND DELIVERIES
Deliveries are made via selected couriers, generally within 2–5 business days.
The goods travel at the risk of Airclima Elettrodomex S.r.l. until physical delivery to the customer (Article 63 of the Consumer Code). For direct collection at the customer's premises, the risk passes to the customer upon collection.
Upon delivery, the customer must:
- check the integrity of the packaging;
- sign the "subject to inspection" form if the packaging appears to be in perfect condition and take photographs of all four sides of the package upon delivery (including the courier's van);
- if the packaging has even a small anomaly, it is necessary to sign the "subject to inspection" form specifying the reason (for example, "subject to inspection" due to torn film, damaged pallet, or dented cardboard).

Reporting any transport issues (damaged packaging or damaged goods) within 3 days of delivery is essential to allow us to initiate a claim with the courier.

8. ORDER CANCELLATION
The customer may request cancellation of the order up until the product has been shipped by sending written notification via email. After this time, it will only be possible to exercise the right of withdrawal pursuant to Article 10. Cancellations are not permitted for customized or made-to-order products.

9. RIGHT OF WITHDRAWAL (B2C)
The consumer may withdraw from the contract within 14 calendar days of delivery of the goods, without penalty and without having to provide a reason (Articles 52-59 of the Consumer Code).
To exercise the right of withdrawal, it is necessary to:
- send notification via the RMA form or certified email;
- wait for confirmation and return number;
- return the product intact, in its original packaging, and complete with accessories within 14 days of authorization.

The standard withdrawal form (Annex I, Part B, Consumer Code) is available on the website (shopclima.it/en/right-of-withdrawal).
Return costs are the responsibility of the customer, except in the case of an error or defect attributable to ShopClima.
The refund, which does not include shipping costs, will be made within 14 days of receipt of the returned goods, using the same payment method used at the time of purchase.

The following products are excluded from withdrawal:
- personalized or made-to-measure;
- sealed items that cannot be returned for hygiene reasons if opened (e.g. air filters, sanitary components, etc.).

10. RETURNS AND EXCHANGES (B2B)
For professional customers, returns or exchanges are accepted only with prior written agreement with Airclima Elettrodomex S.r.l. and may be subject to handling or restocking fees.

11. COMPLAINTS
Any complaints regarding errors, defects or omissions must be communicated in writing within the deadlines set forth in Article 7. Reports can be submitted via email, certified email, or the contact form available on the website. Shopclima undertakes to respond within 10 business days.

12. LIABILITY
Airclima Elettrodomex S.r.l. is not responsible for delays or failures to perform due to force majeure (strikes, natural events, carrier disruptions, etc.).
For consumers (B2C), the protections provided by the Consumer Code remain fully applicable.
For professional customers (B2B), contractual liability is limited to the value of the goods covered by the contract.

13. DISPUTE RESOLUTION
In the event of a dispute, the parties undertake to seek an amicable solution.
For consumers residing in the European Union, the European Commission's ODR (Online Dispute Resolution) platform is available: https://consumer-redress.ec.europa.eu/index_it.
The competent court for consumers is the customer's place of residence or domicile, as provided for by Article 66-bis of the Consumer Code. For B2B transactions, the Court of Milan has exclusive jurisdiction.

14. PRIVACY AND DATA PROTECTION
The Data Controller is Airclima Elettrodomex S.r.l., and this processing is carried out in compliance with EU Regulation 2016/679 (GDPR) and Legislative Decree 196/2003. Data is processed for contractual, administrative, and direct marketing purposes only with your explicit consent.
The legal basis for processing may be:
- performance of the contract (Article 6, letter b) GDPR);
- fulfillment of legal obligations (letter c);
- consent (letter a) for commercial communications.

15. UPDATES TO THE TERMS
These terms may be updated at any time. Amendments do not apply to contracts already concluded, which remain governed by the previous version. The current version is always available on the official website shopclima.it.

16. APPLICABLE LAW
All contracts concluded through the ShopClima.it website are deemed to be concluded in Italy and are governed by Italian law, with particular reference to the Consumer Code and the Civil Code.
